Artisan Components, Inc. Announces Stockholder Approval of Merger with ARM Holdings plc
SUNNYVALE, Calif.—(BUSINESS WIRE)—Dec. 23, 2004—
Artisan Components, Inc. (Nasdaq:ARTI) announces that
its stockholders have voted to adopt a merger agreement pursuant to
which Artisan will be merged with and into a wholly owned subsidiary
of ARM Holdings plc. Preliminary results indicate that more than 64
percent of the Artisan shares outstanding on the record date for the
Artisan special meeting were cast in favor of the merger agreement.
ARM's shareholders also approved the merger agreement today at an
extraordinary general meeting.
On August 23, 2004, ARM and Artisan announced the signing of the
merger agreement under which ARM will acquire Artisan. Approval of the
merger agreement by Artisan's stockholders and ARM's shareholders
satisfies two of the conditions to completion of the transaction.
Subject to other customary closing conditions, the merger is expected
to be completed at 5:30 p.m. Eastern Standard Time today.
